CCP Clears ISE Towers REIT Asset Transfer to Subsidiary

CCP has approved ISE Towers’ internal restructuring, allowing REIT assets to move to ISE Realty, while the REIT entity continues as an SPV for a future REIT scheme in Pakistan.

Islamabad — The Competition Commission of Pakistan (CCP) has approved the proposed restructuring of ISE Towers REIT Management Company Limited, allowing designated real estate assets to be transferred to its subsidiary, ISE Realty Company Limited. The decision follows a Phase-I review and clears the way for a REIT-focused structure that officials say can support more formal and transparent real estate investment in Pakistan.

What CCP Approved and the Timeline

CCP approved the restructuring and transfer of selected assets and liabilities of ISE Towers REIT Management Company Limited to ISE Realty Company Limited. The Commission said it received a pre‑merger application on January 23, 2026, filed jointly by the two related companies.

The transaction is being executed under a Scheme of Compromise, Arrangement, and Reconstruction dated November 17, 2025. In simple terms, it is a legal restructuring plan that moves specific property-related assets into a dedicated real estate subsidiary while keeping the REIT management structure in place.

ISE Towers REIT Management Company Limited, formerly Islamabad Stock Exchange (Guarantee) Limited, is a licensed Non‑Banking Finance Company (NBFC). ISE Realty Company Limited was incorporated in October 2025 as a public limited company and is focused on real estate development and marketing, including commercial and mixed-use projects.

How the Restructuring Will Work

Under the approved scheme, designated assets and liabilities of ISE Towers REIT will be transferred to ISE Realty Company Limited. After the transfer, the shareholding is expected to be reorganised through issuance of shares to the existing shareholders of ISE Towers REIT.

The plan also clarifies the future role of the REIT entity. After restructuring, ISE Towers REIT will operate as a Special Purpose Vehicle (SPV) to facilitate the launch and management of a REIT scheme. An SPV is commonly used to hold specific assets or run a defined project with ring‑fenced risk and clearer governance.

From a business perspective, the move separates the operational real estate development and marketing activities into ISE Realty, while keeping the REIT structure ready to manage a formal REIT product when launched.

Why CCP Said Competition Will Not Be Harmed

In its assessment, the Commission noted that ISE Realty Company Limited was incorporated specifically to implement the restructuring scheme and is not currently operational in the relevant market. The review treated the transaction as an internal restructuring and asset transfer within related entities.

CCP concluded the proposal is unlikely to create or strengthen a dominant market position, substantially lessen competition, or create barriers to entry. It also found no negative impact on market dynamics. On that basis, the Commission authorised the transaction.

For readers, this point is important because CCP approvals focus on whether a deal changes market power. Since the assets are moving within the same group and the subsidiary is not active as a competing market player, the Commission viewed the risk to competition as low.

What It Means for REITs and Pakistan’s Real Estate Market

The restructuring is intended to support the launch of a Real Estate Investment Trust (REIT) structure in Pakistan. REITs can help bring more institutional investment into property by offering a regulated vehicle that holds and manages real estate assets.

Supporters of REIT development often link it with better transparency, improved governance, and more efficient management of property assets. For Pakistan, this can be relevant because the real estate sector has historically faced concerns around documentation, valuation practices, and inconsistent standards.

CCP also reaffirmed its broader position that it supports corporate restructuring and investment initiatives that promote economic growth, as long as competitive market structures are maintained. The practical outcome of this approval is that ISE can proceed with its internal setup—moving assets to ISE Realty and keeping the REIT vehicle positioned as an SPV for a future REIT scheme.
